This agreement is between Green Box Kitchen, The Sold Firm Art Gallery, and Vendor. Please read carefully. - Vendor agrees to participate in the Green Box Block Party 8.9.25. - Green Box Kitchen will allow Vendor to use a specific space (Booth) to exhibit at the Event. - The Booth is for Vendor’s use only; any transfer, space sharer or change assignment of Booth by Vendor is prohibited. Resulting in canceled registration. - Vendor may begin setup at 8:30AM and breakdown/removal of all Vendor’s property must occur immediately following the close of the Event at 2:30PM. - Fee: The event booth is free of charge. - Parking: Vendor receives 15 minutes to temporarily unload all booth items before moving vehicles. Permanent parking is permitted on nearby streets. Vendor is responsible for abiding by street parking signs. - Booth Selection: Locations are 1st come 1st serve between 4th & 5th St. on Market Street. Due to space, Vendor may be asked to adjust their booth location. - Safety: Vendor will act with the highest regard for safety of the patrons and other participants of the Event and will adhere to all laws, policies, rules and regulations applicable to the goods offered by Vendor including obtaining all licenses, permits and approvals that may be required to fulfill all obligations under this agreement. Vendor will also adhere to all rules, directions, instructions and policies provided by Green Box Kitchen & The Sold Firm Art Gallery regarding safety, security, maintenance and other operational matters. - Liability: Green Box Kitchen & The Sold Firm Art Gallery will not be responsible for any loss or damage to Vendor property, injury to or death of the Vendor or its (agents, personnel and employees), sales, and Vendor customers. Vendor expressly assumes all risks of loss, damage, injury or destruction. Vendor hereby releases and waives any claims against Green Box Kitchen & The Sold Firm Art Gallery. - Vendor Insurance: Vendor either has insurance or covenants to be fully responsible for any of its liabilities, actions or omissions, and will indemnify, hold harmless, and defend Green Box Kitchen & The Sold Firm Art Gallery against any claims related to Vendor liabilities, actions or omissions. - Cancellations: The Event will proceed rain or shine. If a cancellation of the Event is necessary due to unforeseen circumstances, there will not be a rain date. - Tents: It is optional but recommended that all vendors provide a covering with weights to secure the booth for safety and wind. - No Assignment by Vendor: Vendor may not assign this opportunity to any 3rd party without advising in written consent to nataki@thesoldfirm.com. Only the accepted Vendor is able to sell their items at the Event. - Change in Terms: The terms of this Agreement may be changed by Green Box Kitchen & The Sold Firm Art Gallery and notice of such change(s) will be sent to you in writing. You agree to accept notices via email, sent to the email address in the application. Green Box Kitchen & The Sold Firm Art Gallery reserves the right to decline, prohibit or expel any Vendor. Due to keeping with the character of the Event including, but not limited to persons, display materials printed matter, product or conduct. - Vendor and its agents, employees, personnel, and/or independent contractors who participate in the Event agree to be bound to this Agreement. The terms of this Agreement, including any waivers, inures to the benefit of Green Box Kitchen & The Sold Firm Art Gallery and its affiliates and Event co-producers and sponsors. - Independent Contractors: The relationship of Vendor to Green Box Kitchen & The Sold Firm Art Gallery is that of an independent contractor, and nothing contained in this Agreement will be construed as creating a partnership, joint venture, employment relationship, agency or other relationship between the parties or to make Green Box Kitchen & The Sold Firm Art Gallery liable for the debts or obligations of Vendor. - The validity, interpretation, construction and enforcement of this Agreement will be governed and controlled by the laws of The State of Delaware, without regard to its rule with respect to choice of law. Any dispute arising out of or related to this Agreement must be brought in federal or state court in New Castle County and the parties hereby consent to the exclusive jurisdiction and venue of such forum. - This Agreement and any rules and regulations provided to Vendor by Green Box Kitchen & The Sold Firm Art Gallery or affiliates, will contain the entire agreement and understanding between the parties hereto with respect to participation in the Event. If any term is contrary to law then that term will be severed and the remainder of the Agreement will remain in force.
